1. Acceptance of Terms

By creating an account, purchasing a membership, or accessing www.goldeneraalliance.com (“the Site"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and LifeForceAI, custodian of the Golden Era Alliance ("Company," "we," "us"). If you do not agree to these Terms, please do not use the Site.


2. Membership and User Accounts

  • Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

  • Security: You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

  • Membership Term: Membership is purchased for a term of 12 months.

  • Fees: You agree to pay the annual membership fee displayed at checkout. All fees are non-refundable unless otherwise stated by law.

  • Membership does not entitle you to access, use, or benefit from any Artificial Super Intelligence (ASI) systems, partner services, or related technologies that may incorporate contributed content, except as expressly stated herein. Any rights to use ASI systems or partner services must be separately granted and are not included in membership.

 

2a. Personal Use of Accounts and Prohibition on Third-Party Control


You agree that all usage of the Site, including uploading contribution materials and payment of membership or contribution fees, must be performed personally by you as the registered member. No third party, whether human, automated bot, digital assistant, or any other automated process, may access, control, or operate your account for the purpose of submitting contributions or making payments. Detection of third-party control or automated usage will result in immediate termination and expulsion from the Site without refund of membership or contribution fees. You further agree that if third-party control of your account is detected, LifeForceAI, Golden Era Alliance, and their affiliates may seek treble damages against you in Wyoming state or federal court, on behalf of the Company, its partners, and mankind at large.

 

2b. Right to Refuse Membership


LifeForceAI and the Golden Era Alliance reserve the right, in their sole discretion, to refuse membership, account registration, or access to the Site to any individual or entity, for any reason or no reason, without liability. Such refusal may occur prior to or after registration, and in the event of refusal after payment, fees will be refunded unless refusal is based on violation of these Terms or attempted misuse of the Site.


3. Data Contributions and Fees

  • Initial Contribution: Your 12-month membership includes the ability to make one (1) data contribution (text, file, or image) at no additional charge.

  • Paid Contributions: Once a member, you may make additional contributions of data, files, or images. Each subsequent contribution requires the payment of a separate fee as indicated on the contribution form.

  • No Guarantee of Use: Submission of data does not guarantee that the data will be prioritized or utilized in any specific manner by the Artificial Super Intelligence (ASI) systems.

  • You acknowledge and agree that you are not entitled to any revenue share, royalty, remuneration, or other compensation of any kind, including free or discounted usage of ASI systems or related technologies, arising from or connected to your data contributions. All rights and benefits in relation to ASI systems remain exclusively with LifeForceAI, Golden Era Alliance, and their affiliates.

 

4. User Content and Copyright Policy

  • License Grant: By submitting data, text, images, or files ("User Content") to the Site, you grant LifeForceAI and the Golden Era Alliance a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, and process such User Content for the purposes of developing, training, and operating Artificial Super Intelligence systems and related initiatives.

  • Copyright Prohibition: You are strictly prohibited from uploading, posting, or submitting any content that is copyrighted, protected by trade secret, or otherwise subject to third-party proprietary rights, unless you are the owner of such rights or have permission from their rightful owner.

  • Representation of Ownership: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to authorize Company to use your User Content as described in these Terms.

  • If your User Content includes any identifying information (including but not limited to personal data, company names, organizational identifiers, or government-related information), you assume full responsibility and liability for such disclosure. LifeForceAI, Golden Era Alliance, and their partners, affiliates, officers, directors, and employees shall bear no responsibility for any resulting claims, damages, or liabilities. You further agree to indemnify and hold harmless the above parties from any claims, losses, or damages arising from your disclosure of identifying information in your contributions.

 

5. Prohibited Activities


You agree not to:

  • Upload viruses, malware, or other malicious code.

  • Attempt to interfere with the proper working of the Site.

  • Use the Site for any unlawful purpose or to solicit others to perform unlawful acts.

  • Upload content that is illegal, harassing, hateful, obscene, or otherwise objectionable.

 

6. Accuracy of Contributions and Prohibition on Disinformation


You agree that all User Content must be factually accurate to the best of your knowledge and belief. It is against Site policy to knowingly upload, submit, or attest to information that is false, misleading, or intended to create disinformation, false data assumptions, or misguided aggregate use by ASI systems. If you submit User Content that you know to be false but represent as true, you acknowledge and agree that: (i) your membership may be immediately terminated without refund of membership or contribution fees; (ii) you consent to being sued in Wyoming state or federal court for willful intent to harm LifeForceAI, Golden Era Alliance, their partners, affiliates, officers, directors, employees, and mankind at large; (iii) treble damages may be awarded against you for such willful misconduct; (iv) LifeForceAI and Golden Era Alliance may seek criminal prosecution for such conduct, and you waive any objection to referral of your actions to law enforcement authorities; and (v) you shall be responsible for all legal fees and costs incurred by LifeForceAI, Golden Era Alliance, and their affiliates in connection with such misconduct, regardless of the outcome of litigation, arbitration, appeal, or mistrial.

 

7. Intellectual Property Rights


The Site and its original content (excluding User Content provided by you and other users), features, and functionality are and will remain the exclusive property of LifeForceAI, Golden Era Alliance, and their licensors.

 

8. Termination


We reserve the right to terminate or suspend your account and access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

 

9. Limitation of Liability


To the maximum extent permitted by law, in no event shall LifeForceAI, Golden Era Alliance, nor their directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages.

 

  • This limitation expressly includes, without restriction, any claims related to (i) the absence of compensation, revenue share, or usage rights for contributed data; (ii) the disclosure of identifying information within User Content, for which sole responsibility rests with the contributing member; (iii) the absence of member rights to use ASI systems or partner services; (iv) damages arising from disinformation or false contributions; (v) damages arising from third-party or automated control of member accounts; and (vi) damages arising from disclosure, sale, or transfer of member information identifying contributors and the amount of fees paid, which you expressly consent to under these Terms.

 

10. Disclaimer


Your use of the Site is at your sole risk. The Site is provided on an "AS IS" and "AS AVAILABLE" basis.

 

11. Governing Law


These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

 

12. Arbitration Agreement and Waiver of Trial Rights


You agree that any dispute, claim, or controversy arising out of or relating to these Terms, your membership, or your data contributions shall be resolved exclusively by binding arbitration in the State of Wyoming, pursuant to the Wyoming Uniform Arbitration Act and the Federal Arbitration Act. You hereby waive any right to a trial by jury or to participate in a class action for such disputes. Arbitration shall be conducted on an individual basis, and the arbitrator’s decision shall be final and binding. If any portion of this arbitration agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

 

12a. Confidentiality and Non Disparagement

 

You agree that all disputes, disagreements, service lapses, expulsions for cause, arbitration proceedings, judgments, or lawsuits involving LifeForceAI, Golden Era Alliance, partners, affiliates, officers, directors, or employees shall remain strictly confidential. You shall not disclose, publish, or communicate any information regarding such matters to any third party, except as required by law.


You further agree not to disparage, defame, or make negative statements about LifeForceAI, Golden Era Alliance, their Artificial Super Intelligence (ASI) systems, technologies, products, services, uses, applications, partners, affiliates, officers, directors, or employees, in any form or medium, for any reason.


Violation of this confidentiality and non disparagement obligation shall constitute a material breach of these Terms. In such event, you agree that LifeForceAI, Golden Era Alliance, and their affiliates may pursue legal action against you in Wyoming state or federal court, and you consent to the award of treble damages, reimbursement of all legal fees and costs, and any other remedies available at law or equity, on behalf of the Company, its partners, and mankind at large.

 

12b. Severability, Survival, and Duration of Obligations


You agree that all liability provisions, indemnification obligations, confidentiality commitments, non disparagement covenants, legal remedies, and fee shifting obligations set forth in these Terms shall survive the expiration or termination of your membership, whether voluntary or forced.


Liability obligations shall continue for a period of thirty (30) years following termination or expiration of membership.


Rights grants for uploaded or input materials, contributions, or User Content shall be perpetual, irrevocable, and survive indefinitely, including through any merger, acquisition, or change of control of LifeForceAI, Golden Era Alliance, or their affiliates.


If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.

 

13. Changes to Terms


We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
